1. Purpose

This Professional & Ethical Conduct Policy sets out the principles that govern how Finchase Capital Private Limited and its team conduct themselves in every client relationship, engagement, and interaction — including prospective relationships formed through enquiries and confidential submissions received via our Site. It is intended to give clients, prospective clients, and the public a clear and honest account of the standards we hold ourselves to.

2. Adherence to the ICAI Code of Ethics

Our practice is led by professionals qualified as Chartered Accountants and bound by the Code of Ethics issued by the Institute of Chartered Accountants of India (ICAI). We adhere to its fundamental principles in every engagement:

  • Integrity — being straightforward and honest in all professional and business relationships
  • Objectivity — not allowing bias, conflict of interest, or undue influence to override professional judgment
  • Professional competence and due care — maintaining the knowledge and skill required to provide a competent professional service, and acting diligently in accordance with applicable technical and professional standards
  • Confidentiality — respecting the confidentiality of information acquired through professional and business relationships, and not disclosing such information without proper authority, except where there is a legal or professional right or duty to disclose
  • Professional behaviour — complying with relevant laws and regulations and avoiding any conduct that discredits the profession

3. Independence and Conflicts of Interest

We take reasonable steps to identify and manage situations where advising one client could create a conflict with the interests of another client, or with the interests of the firm itself. Where such a conflict is identified:

  • We assess whether the engagement can proceed with appropriate safeguards (such as separate teams or information barriers)
  • Where a conflict cannot be adequately managed, we will decline or discontinue the engagement, and inform the affected party as appropriate
  • We do not accept engagements where our independence or objectivity would be genuinely compromised

4. Confidentiality Commitment

Confidentiality is treated as a professional obligation, not merely a courtesy. This applies equally to:

  • Information shared by clients in the course of a formal engagement
  • Information shared by prospective clients or founders through our "Start the Conversation" page or any enquiry
  • Business ideas, financial data, and personal information shared with us prior to any engagement being formalized

We do not disclose, use, or reference confidential information for any purpose other than that for which it was shared, and access to such information within our team is limited to those directly involved in reviewing or acting on it. Where requested, we are willing to formalize this commitment through a mutually signed non-disclosure agreement before detailed information is exchanged.

5. Anti-Bribery and Anti-Corruption

We do not offer, give, solicit, or accept bribes, kickbacks, or improper payments or advantages, whether directly or through any third party, in connection with our business dealings. Our team is expected to conduct all business relationships — with clients, regulators, and other professionals — with integrity and free from any form of improper inducement.

6. Fair Dealing

We are committed to:

  • Representing our qualifications, experience, and the scope of our services accurately, and not overstating outcomes we can guarantee
  • Communicating our fees and the basis on which they are charged clearly, before an engagement begins
  • Not making misleading claims about our services, tools, or past client outcomes anywhere on our Site or in our communications

7. Compliance with Law

We conduct our practice in compliance with all applicable laws and regulations governing our profession and business, including but not limited to the Chartered Accountants Act, 1949 and ICAI regulations, the Companies Act, 2013, applicable tax legislation, and the Digital Personal Data Protection Act, 2023.

8. Reporting Concerns

Any concern regarding a departure from the principles set out in this Policy — whether raised by a client, prospective client, or any other party — may be directed to our Grievance Officer as set out in our Grievance Redressal Policy.

9. Review of This Policy

This Policy is reviewed periodically to ensure it continues to reflect our professional obligations and the standards we hold ourselves to. The "Last Updated" date above reflects the most recent review.
